CONTEST RULES
NO PURCHASE IS NECESSARY TO PARTICIPATE. PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING. INTERNET ACCESS AND A VALID EMAIL ACCOUNT IS NECESSARY TO PARTICIPATE.
- Eligibility. The Vistaprint Make An Impression Contest ("Contest" or "Promotion") is offered and open only to business entities with their principle place of business located in the 50 United States or District of Columbia and who have no more than a total of 20 employees (full and part-time combined) at time of entry. Employees, officers and directors of Vistaprint Netherlands B.V. ("Vistaprint" or "Sponsor" ), Overdrive Interactive ("Administrator"), their respective parent, affiliated and subsidiary companies, advertising and promotion agencies, and persons engaged in the development of Promotion materials, and members of the immediate family (parents, siblings, children and spouse, wherever they reside) or household members (whether or not related) of such employees, officers and directors are not eligible. By participating, the business entity, by an employee, officer, or director authorized to enter into binding agreements on behalf of the business entity, agrees to these Official Rules and all decisions of Sponsor and/or Administrator, an independent judging and administration organization, which are final and binding in all respects. Void where prohibited.
- Promotion Period. The Promotion begins on or about June 4, 2010 at 12:00:01 a.m. and ends on September 4, 2010 at 11:59:59 p.m. A day begins at 12:00:01 a.m. and ends the following 11:59:59 p.m. All times are Eastern Time. The Promotion computer is the official time keeping device for the Promotion.
- TO PARTICIPATE IN THE CONTEST:
- To Enter: Access http://www.1-800-Vistaprint.com/contest and complete the information fields, specifically, full name of person and office of person entering on behalf of the business entity, the name of the business entity, address of the principle place of the business entity, zip code, email address, and daytime phone number of the business entity. You will be asked to respond to each of four questions. The questions are one Why should you be selected as the winner?; two How do you impress your customers?; three How would you use the Marketing Package prize stated in Rule 4? ; and, four What else should we know about your business (open ended)?. In the field provided type your response to each question. You need not repeat the question in your response but you must state the number of the question you are responding to in front of the response to that question (specifically 1, 2, 3, 4). The questions must be responded to in the order stated above, and responses to each question cannot be combined with the responses to any other questions. THERE IS A LIMIT OF 100 WORDS FOR EACH RESPONSE. The responses must be in English. When the response has been completed, you must confirm that you have read, understand, and agree to these Official Rules by placing a check mark in the box provided. Then click on the submit button. When your submission is received and recorded by the Promotion computer you will receive one entry into the Contest. ("Entry").
- Entry Parameters: Entries (i) must be the original and sole creation of the entrant, and all right, title and interest including but not limited to the copyright in any Entry, must be owned solely by the submitting entrant, (ii) may not have been submitted in any other competition, (iii) may not have been published, (iv) may not infringe upon any third party's rights, including but not limited to, copyright, patent or trademarks/tradenames/logos, or rights of privacy or publicity, or contain material that is or may be considered defamatory, slanderous or libelous, or portray or depict any person, product or entity in a false light, (v) may not violate any law, rule or regulation, (vi) may not contain any virus, bugs, or other deleterious material, and (vii) may not, for example but not limited to, contain, profanity, defamatory statements, words or symbols widely considered offensive to individuals of any certain race, ethnicity, religious, sexual orientation or socioeconomic groups, threats to any person, place, business, group or world peace; and each entrant warrants and represents that his/her/its Entry complies with all of those conditions. An Entry cannot contain, among other things, the trademark, tradename or logo of any third party or entity or product (including but not limited to the trademark, tradename or logo of any product competitive with any product of Sponsor), cannot name, or describe any person (living, dead, or fictional) other than the entrant, and cannot contain any material that is protected by copyright. Any Entry not in compliance with any of the above will be subject to disqualification. By entering, each entrant grants permission for the use of his/her/its Entry, and his/her/its name, to be posted on the Internet and Web site or any web site in connection with this Contest, and the advertising, promotion, and publicity of the Contest, and otherwise, as stated in these Official Rules (as solely determined by Sponsor); and each entrant warrants and represents that he/she/it has all right and authority to grant such permission. Notwithstanding anything to the contrary, however, there is no obligation of the Sponsor or any other person or entity to post or make any use of the Entry of any particular entrant, or of any entrant.
- Conditions of Entry Submission: Entries must be received and recorded by the Promotion computer beginning June 4, 2010 at 12:00:01 a.m. and not later than August 23, 2010 at 11:59:59 p.m. Once submitted, an Entry cannot be changed, altered or modified, becomes the sole property of Sponsor, and will not be acknowledged or returned. There is a limit of 1 Entry per entity for the entire Contest. Multiple Entry submissions in excess of the stated limitations or mass Entry attempts by any method will result in disqualification of all entries by such entity. Notwithstanding anything to the contrary, Sponsor reserves the right to disqualify any Entry that Sponsor, in its sole opinion deems inappropriate for publication. . Questions concerning the Contest will not be acknowledged or responded to. Entries that do not conform to these Official Rules or are submitted in any manner other than stated in these Official Rules will be disqualified.
- Judging/Voting/Winning:
- Judging Phase: Eligible Entries received and recorded beginning June 4, 2010 at 12:00:01 a.m. and not later than August 23, 2010 at 11:59:59 p.m., will be posted on the Web site. Entries will be judged by a panel of judges determined by Sponsor. Judging will be based and scored on the following judging criteria and stated point availability for each criterion: (a) up to 30 points available for Originality, (b) up to 30 points available for "How they would use the Marketing Package prize stated in Rule 4", and, (c) up to 30 points available for Industry. In case of a tie, the Entry with the higher score for the "How they would use the Marketing Package prize stated in Rule 4" " criterion will be the winner. If a tie continues one new judge will re-judge the tied Entries using the above criteria. There will be no voting during this Phase. The judging scores for the Entries will not be disclosed. Decisions of judges are final and binding in all respects for all matters relating to the judging.
- Voting Phase: Beginning on or about August 24, 2010 at 12:00:01 a.m. and ending on September 4, 2010 at 11:59.59 p.m. visitors to the Web site will be able to vote for the voter's favorite Entry. To vote, access the Web site and follow the voting directions. There is a limit of one vote per person/email address per day. Up to ten (10) points will be available for the voting scores. The total judging score for each Entry will be added to the voting score for that Entry to determine the Entry's final point score. The 4 Entries with the highest final point scores will be deemed the Grand Prize potential winners. In the event of a tie, the tied Entry with the highest point score for the "How they would use the Marketing Package prize stated in Rule 4" criterion will be deemed the winner. Should a tie continue, one new judge will be appointed to judge the tied Entries using the three judging criteria.
- Additional Information/Notification: Decisions of the judges are final and binding in all respects as regards the judging. Votes cast by any macro or robotic system or any means designed to gain an unfair advantage or impugn the integrity of the Contest are subject to disqualification in the Sponsor's sole discretion. Potential winners will be notified by mail, overnight mail, email or by such other method determined by Sponsor on or about 9/15/10. Winning a prize is subject to verification and compliance with these Official Rules.
- PRIZES/VALUES: 4 Grand Prizes, each consisting of: $600 HP Gift Card, Pixability on-line video (record your own video, and Pixability will make it into a Web video), Marketing Package designed by Vistaprint's marketing services team (1000 Brochures and 1000 Business Cards, and 1500 Post Cards, Local Marketing Campaign consisting of a direct mail campaign from Vistaprint's mailing services offering, 30 Lawn Signs, 1 Banner and 50 T-shirts) Approximate Package Retail Value $ 10,000. Gift Card is subject to Terms and Conditions stated on the Card and as otherwise imposed by the issuer of the Card. Expenses not expressly stated are the sole responsibility of each winner. If a winner cannot accept the prize as stated prize will be forfeited in its entirety and awarded to an alternate winner. Prize cannot be assigned, transferred, or redeemed for cash or credit, but Sponsor reserves the right to substitute the prize, or a portion of the prize, with a prize or portion of prize of equal or greater value, should the prize or any portion be unavailable for any reason. Taxes are the sole responsible of the winner.
- GENERAL CONDITIONS: Participants agree (a) that Sponsor, Overdrive Interactive, their respective parents, subsidiaries and affiliated companies, advertising and promotion agencies, and all of their respective officers, directors, employees, representatives and agents, and the Contest judges (individually and collectively "Releasees") are released, will have no liability whatsoever for, and shall be indemnified and held harmless by participants against any liability for any injuries, losses or damages of any kind (whether due to negligence or otherwise) to person(s), including death, or property or due to breach or failure of any representation or warranty, or infringement upon any third party's rights, resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of the prize or participation in this Promotion or any Promotion related activities, and, (b) each winner grants permission to Sponsor and those acting under its authority the right to the use of his/her/its name, picture, likeness, voice, biographical information and statements, and Entry (and notwithstanding anything to the contrary in these Official Rules, grants a non-exclusive license for the use of the Entry which may be edited, modified, altered, changed, used alone, together or with other works, or content and/or used in composite form, with or without comment or commentary, all as solely determined by Sponsor) at any time or times, in perpetuity, for advertising, trade, publicity and promotional purposes without additional compensation (except where legally prohibited), in all media now known or hereafter discovered or devised, worldwide, and on the Internet and World Wide Web, without notice, review, or approval. Potential prize winners may be required, by a duly authorized employee, officer or director, to complete, sign and return an Affidavit of Eligibility, a Liability Release, and where lawful a Publicity Release within seven (7) days of the date on the notification. If documents are not returned timely, or if the prize notification or prize is returned as non-deliverable, or if the potential winner is found to be ineligible or otherwise not in compliance with these Official Rules, prize may be forfeited and an alternate winner selected. Each Contest winner irrevocably sells, assigns and transfers to Sponsor all right, title and interest in and to winner's Entry, including but not limited to all copyright and trademark rights, and waives all moral rights in favor of Sponsor, which winner may have, in the United States and worldwide, therein, for consideration, the receipt and sufficiency of which is hereby acknowledged. Upon request of Sponsor, each Contest winner shall execute and deliver such additional instrument of sale, transfer and assignment, as may be solely deemed by Sponsor, reasonably necessary to establish the ownership of record of the right, title and interest in and to the subject Entry and of the copyrights, and trademarks transferred, and all moral rights waived. Should Sponsor fail to request the said additional instrument of sale, transfer and assignment as stated, that shall not be deemed a waiver of Sponsor's rights and Sponsor may at a later time request that instrument, and the stated winner agrees to honor and comply with such request.
- LIABILITY LIMITATIONS: Releasees are not responsible for lost, late, misdirected, incomplete, postage due or non-delivered mail, entries or e-mail; or for interrupted or unavailable satellite, network, server, Internet Service Provider (ISP), Web site, telephone or other connections, availability or accessibility, or miscommunications, or failed computer, satellite, telephone or cable transmissions, or lines, or technical failure or jumbled, corrupted, scrambled, delayed, or misdirected transmissions or computer hardware or software or program/programming malfunctions, failures, or technical errors or difficulties, or other errors of any kind whether human, mechanical, electronic or network or the incorrect or inaccurate capture or transmission of registration, Entry, voting or other information or the failure to capture, or loss of, any such or similar information. Persons who tamper with or abuse any aspect of this Promotion, as solely determined by the Sponsor, will be disqualified. Any use of robotic, automatic, macro, programmed, third party or like entry or voting methods (except as specifically permitted in these Rules) will void all such Entries or votes by such methods, and disqualify any entrant or voter using such methods. Releasees are not responsible for injury or damage to participants' or to any other person's computer related to or resulting from participating in this Promotion or downloading materials from or use of the Web site or any web site. Should any portion of the Promotion be, in Sponsor's sole opinion, compromised by virus, worms, bugs, non-authorized human intervention, technical failures or any other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play, or submission of entries, Sponsor reserves the right at its sole discretion to suspend, modify or terminate the Promotion, and select the winners from Entries received prior to action taken or as otherwise deemed fair and appropriate by Sponsor. Releasees are not responsible for any incorrect or inaccurate information, whether caused by Web site users, or any web site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Promotion, and assume no responsibility for any error, interruption, deletion, defect, delay in operation, or transmission, communications line failure, theft or destruction, or unauthorized access to or use to this Web site or any web site. In case of dispute, the authorized subscriber of the e-mail account used to enter the Promotion at the actual time of entry will be deemed to be the participant, and must comply with these Official Rules. The authorized account subscriber is deemed to be the natural person who is assigned an e-mail address by an Internet Access Provider, on-line service provider, or other organization which is responsible for assigning e-mail addresses.

- DISPUTE RESOLUTION/CHOICE OF LAW: Except where prohibited, each entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Promotion or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court or the appropriate Massachusetts State Court located in Boston, Massachusetts; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event attorneys' fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Releasees in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of Massachusetts without giving effect to any choice of law or conflict of law rules (whether of the State of Massachusetts or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Massachusetts.
- SEVERABILITY: In the event any provision of these Official Rules is deemed illegal, invalid or unenforceable, such provision shall be stricken to the extent of its illegality, invalidity or unenforceability and the remainder of these Official Rules shall be construed and enforced as if it did not contain the stricken provision.

- HOW TO PARTICIPATE:
- By Internet: Access http://1-800-Vistaprint.com/Contest ("Web site") and complete the information fields, specifically, your full name and email address, and follow the directions to post to your Twitter account. You must then confirm that you have read, understand, and agree to these Official Rules by placing a check mark in the box provided. Then click on the submit button. When your submission is received and recorded by the Promotion computer you will receive one entry into the Sweepstakes ("Entry");
- By Mail: To enter the Sweepstakes by mail neatly hand print your full name, mailing address, zip code, email address, and daytime phone number, on a 3"X5" piece of paper and mail in a first class hand addressed stamped envelope to: Vistaprint Make an Impression Sweepstakes, c/o Jeff Esposito, 95 Hayden Ave, Lexington, MA 02421 postmarked by 9/4/10 and received by 9/9/10. Each entry must be mailed in a separately stamped envelope. No copies, facsimiles, or reproductions will be accepted.
- Entry Limits: There is a limit of 1 entry per day no matter whether that entry is submitted by mail or through the Web site. Any attempt by any participant to obtain more than the stated number of entries by using multiple/different addresses email addresses, identities, names or addresses or any other methods will void that participant's entries and that participant may be disqualified.
- DRAWING: On or about 9/15/10, 1 potential winner will be randomly selected by the Promotion Administrator from all eligible entries received. Potential winner will be notified by email, regular mail, overnight mail and/or phone on or about 2 business days after the drawing. If notification is by email 3 attempts within 3 days will be made to contact/notify the potential winner. Should a potential winner fail to respond to the third contact/notification attempt within 24-hours of the time when it is sent, the prize will be forfeited and awarded to an alternate winner.

- DISPUTE RESOLUTION/CHOICE OF LAW: Except where prohibited, each entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Promotion or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court or the appropriate Massachusetts State Court located in Boston, Massachusetts; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event attorneys' fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Releasees in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of Massachusetts without giving effect to any choice of law or conflict of law rules (whether of the State of Massachusetts or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Massachusetts.
- SEVERABILITY: In the event any provision of these Official Rules is deemed illegal, invalid or unenforceable, such provision shall be stricken to the extent of its illegality, invalidity or unenforceability and the remainder of these Official Rules shall be construed and enforced as if it did not contain the stricken provision.
